Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the services provided by Credible Studio (“Credible”, “we”, “us”, or “our”) via our website credible.studio. By engaging with our services or using our site, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

Each project is governed by a Statement of Work (SOW) that outlines the scope, milestones, timelines, and fees. These Terms apply in conjunction with any SOW. In case of a conflict, the SOW will take precedence if it explicitly states so.

1. Services

Credible Studio provides custom content services including, but not limited to:

• Brand messaging and positioning

• Content audits and strategy

• Copywriting (e.g. web, blog, email, landing pages)

• Editorial and campaign content support

All engagements are initiated and governed by a mutually agreed Statement of Work.

2. Statements of Work (SOW)

Each SOW defines the specific terms of the engagement, including:

• Project scope and deliverables

• Milestones and timeline

• Fees and payment terms

• Intellectual property rights

• Roles and responsibilities

We will not commence any work until the SOW is signed and agreed upon by both parties.

2.1 Milestones, Approvals, and Payment Commitments

To ensure transparency and alignment, all projects will be scoped with clearly defined milestones, each tied to specific phases of work and associated fees.

• Each milestone will describe a specific deliverable or project phase.

• Fees for each milestone are payable upon delivery, as outlined in the SOW.

• Clients will be provided a defined review window per milestone (typically 3–5 working days unless stated otherwise). If no objections are raised within that window, the milestone will be considered approved by default.

Once a milestone has been delivered according to the agreed brief:

• Payment is due, regardless of any subsequent changes in preferences, direction, or internal decision-making.

• Subjective dissatisfaction or change of mind is not valid grounds for withholding payment.

• Additional changes beyond scope will be quoted and agreed separately.

This structure protects both parties and ensures consistent progress.

3. Fees and Payment

• Fees are specified in the SOW and invoiced per milestone unless otherwise agreed.

• All invoices are payable within 14 calendar days of issue.

• Late payments may incur interest at 2% per month, compounded monthly.

• Work may be suspended or withheld if payment terms are not met.

All prices are exclusive of VAT or applicable taxes unless otherwise stated.

4. Revisions and Scope Changes

Each SOW will specify the number of included revisions. If the Client requests significant scope changes, new directions, or major rework beyond what was originally agreed, we may:

• Propose a change order with revised scope and fees;

• Or prepare a new SOW.

We will not continue with expanded work until such changes are formally agreed.

5. Client Responsibilities

To ensure successful project delivery, the Client agrees to:

• Provide timely feedback, materials, and approvals;

• Assign a main point of contact for coordination;

• Confirm that they have the necessary rights for any third-party content provided.

Delays in feedback or material provision may impact project timelines and milestone due dates.

6. Intellectual Property

• Upon full payment of each milestone, all rights in the final approved deliverables for that milestone will transfer to the Client, unless otherwise specified in the SOW.

• We retain the right to showcase the work in our portfolio, unless expressly restricted in writing.

• Drafts, templates, concepts not selected, and working materials remain the intellectual property of Credible Studio unless otherwise agreed.

7. Confidentiality

Both parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information exchanged during the engagement.

• Confidentiality obligations remain in effect for two (2) years after termination.

• This clause does not apply to information that is publicly available or required by law to be disclosed.

8. Termination

Either party may terminate an engagement:

• With 7 days’ written notice for any reason;

• Immediately, if the other party commits a material breach and fails to remedy it within 7 days of notification.

Upon termination:

• All completed work and in-progress milestones will be invoiced and payable;

• Partially completed work may be delivered “as-is,” with no obligation for further editing or revision.

9. Warranties and Liability

We warrant that:

• Our services will be delivered with professional skill and care;

• Our deliverables will be original and not knowingly infringe on third-party rights.

We are not liable for:

• Indirect or consequential losses;

• Delays due to factors outside our control (e.g. client delays, force majeure).

Our total liability is limited to the total fees paid under the relevant SOW.

10. Website Use

By using credible.studio, you agree not to:

• Use our content without permission;

• Engage in data scraping, reverse engineering, or disruption of our website;

• Use our site for unlawful purposes.

We make no guarantee of uninterrupted access or the accuracy of all website content.

11. Governing Law

These Terms are governed by the laws of England and Wales. All disputes arising under or in connection with them shall be subject to the exclusive jurisdiction of the English courts.

12. Updates to These Terms

We reserve the right to update these Terms periodically. Any material changes will be posted to our website. Continued use of our services or site after changes are published constitutes acceptance of the updated Terms.
